The first thing you have to do is figure out (ask) how they did the down conversion. There are several ways to do it and some involve WWWSS type of 3:2 pulldown and other schemes involve WWWWS. It is highly unlikely that you have a frame for frame downconversion. The audio would be way off speed.
If you're just trying to pull a key and are going right back to Beta you may be OK just leaving the footage interlaced.
There are lots of good keyers for AE that work as good as Ultimatte. You can even pull great keys with the keyers that come with the Production bundle. If you must deinterlace the footage then you've got to answer the first question first...
